These terms are a working draft and have not been approved by a solicitor. They do not form a legally binding agreement. Do not rely on this document until it has been reviewed, amended as required, and formally published by Datumbase Ltd.
Terms of Service

1. Definitions

| Service | The Datumbase CDM compliance management platform accessible at app.datumbase.tech, including all features, tools, and APIs provided by us. |
| User | Any individual authorised by the Customer to access the Service under the Customer's account. |
| Content | Any data, documents, files, text, or other material uploaded to or generated within the Service by the Customer or its Users. |
| CDM | The Construction (Design and Management) Regulations 2015 (as amended). |
| Subscription | A paid plan that grants access to the Service for the duration of the billing period. |
| DPA | The data processing agreement between the parties, which is incorporated into these Terms by reference. |
2. The Service
Datumbase provides a cloud-based platform to help construction professionals create, manage, store, and track CDM documentation including F10 Notifications, Construction Phase Plans, Pre-Construction Health & Safety Information, and Health & Safety Files.
The Service is intended as a tool to assist with CDM compliance. It does not constitute legal, safety, or professional advice. You remain solely responsible for ensuring that your construction projects comply with all applicable laws and regulations, including CDM 2015, the Building Safety Act 2022, and any relevant HSE guidance.
We may update, improve, or modify the Service from time to time. We will give reasonable notice of material changes where practical. We will not materially reduce the core functionality of the Service during an active paid Subscription period without offering a pro-rata refund for the affected period.
3. Account Registration
To use the Service you must register an account using a valid email address. You must provide accurate and complete information and keep it up to date.
You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately at support@datumbase.tech if you suspect unauthorised access.
Accounts are for business or professional use. You may not share your account credentials with individuals outside your organisation. Each User must have their own login.
4. Acceptable Use
You agree not to use the Service to:
- Upload content that is unlawful, fraudulent, defamatory, or infringes third-party intellectual property rights
- Reverse-engineer, decompile, or attempt to extract the source code of the platform
- Introduce malware, viruses, or other malicious code
- Attempt to gain unauthorised access to other accounts or to our infrastructure
- Resell or sub-licence access to the Service without our written consent
- Use the Service in any way that violates applicable law, including data protection law
- Upload personal data of individuals without a lawful basis under UK GDPR
- Misrepresent CDM document status or compliance information in a way that creates safety risks
We reserve the right to suspend or terminate access immediately if we have reasonable grounds to believe these rules have been breached.
5. Subscriptions and Payment
Access to paid features of the Service requires a Subscription. Subscription fees, billing frequency, and included features are set out on our pricing page and in any order confirmation we send you.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period — we do not offer refunds for unused time within a billing period unless required by law.
We may change Subscription pricing with at least 30 days’ written notice. If you do not accept the new price, you may cancel before the change takes effect.
All prices are exclusive of VAT. VAT will be added at the applicable rate where required.
6. Intellectual Property
Your Content: You retain all intellectual property rights in the Content you upload to the Service. By uploading Content, you grant us a limited, non-exclusive licence to store, process, and display your Content solely to provide the Service to you.
Our Platform: All intellectual property rights in the Datumbase platform, including its software, design, and documentation, belong to us or our licensors. Nothing in these Terms transfers any ownership of our intellectual property to you.
Third-party documents: CDM documents may incorporate content owned by third parties (architects, engineers, surveyors). You warrant that you have the necessary rights or consents to upload such content to the Service. We accept no liability for third-party intellectual property infringement arising from content you upload.
7. Data Protection
Where you upload personal data to the Service (for example, duty holder names and contact details in CDM documents), you act as the data controller and we act as your data processor. Our data processing obligations are set out in our Privacy Notice and, for business customers, in our Data Processing Agreement (available on request).
You are responsible for ensuring you have a lawful basis under UK GDPR for any personal data you upload to the Service, and for notifying the individuals whose data you process.
8. Availability and Support
We aim to make the Service available 24 hours a day, 7 days a week, but we do not guarantee uninterrupted access. The Service is provided on an “as available” basis. We may carry out planned maintenance and will give reasonable advance notice where practical.
Support is provided by email at support@datumbase.tech. We aim to respond within 2 business days. No formal SLA applies to free or entry-level plans. Enterprise SLAs are available under a separate agreement.
9. Limitation of Liability
CDM compliance disclaimer: The Service is a tool to assist with CDM documentation. It does not replace the professional judgement of a Principal Designer, Principal Contractor, or other duty holder. We are not responsible for any failure to comply with CDM 2015, the Building Safety Act 2022, or any related HSE enforcement action, regardless of whether the Service was used in connection with that project.
Cap on liability: To the maximum extent permitted by law, our total aggregate liability to you under or in connection with these Terms (whether in contract, tort, or otherwise) shall not exceed the total Subscription fees paid by you in the 12 months preceding the event giving rise to the claim.
Excluded losses: We shall not be liable for: loss of profits; loss of revenue; loss of data; loss of contracts; loss of anticipated savings; business interruption; reputational damage; or any indirect or consequential loss, in each case whether or not we had been advised of the possibility of such loss.
Nothing in these Terms limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by English law.
10. Indemnity
You agree to indemnify and hold harmless Datumbase Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) any Content you upload; or (d) any infringement of third-party rights caused by your use of the Service.
11. Termination
By you: You may terminate your account at any time by cancelling your Subscription through your account settings or by contacting us. Termination takes effect at the end of the current billing period.
By us:We may suspend or terminate your access immediately if you materially breach these Terms, or on 30 days’ written notice for any other reason. In the event of termination for convenience by us, we will provide a pro-rata refund for any prepaid period.
Effect of termination: On termination, your right to access the Service ceases. Your Content will be retained for 30 days after termination to allow you to export it, then permanently deleted. You are responsible for exporting any data you require before termination takes effect.
Statutory retention note:CDM documents may be subject to statutory retention obligations (e.g., H&S Files for the life of a structure). You are responsible for maintaining compliant records independently of the Service.
12. General Provisions
Entire agreement: These Terms, together with our Privacy Notice and any applicable DPA or order form, constitute the entire agreement between us relating to the Service and supersede all prior representations and agreements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
Waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right.
Assignment: We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our prior written consent.
Notices: Legal notices to us should be sent to legal@datumbase.tech. Notices to you will be sent to the email address on your account.
Third party rights: These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
13. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before commencing formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.
